IMPORTANT
=========
Carefully read this agreement before installing the software from your software media. This agreement governs your use of the software. By installing the software you indicate acceptance of and agreement to the terms and conditions of the license agreement. If you do not accept and agree to this agreement do not install the software and return the complete product to the place of purchase for a refund.

DEFINITIONS
===========
Premier - means Premier EDA Solutions Limited
Product - is the entire package supplied to the Customer including documentation, the original software media and packaging
Customer - refers to the licensed user of the Product under the terms of this agreement
Software - refers to all portions of the software and support files included on software media.

LICENSE STATEMENT
=================
The Product is the sole property of Premier and is protected by copyright and trademark laws and by International Treaty and trade provisions.
Any breach of Premier's rights as the sole owner of the Product may subject the offender to civil and criminal penalties including fine and/or imprisonment.
The license granted by this agreement shall automatically terminate in the event that any provision of this agreement is breached by the Customer.
Customer is granted a non-exclusive license to install and operate a single copy of the Software on one computer.
Customer may make a single back-up copy of the original software media.
Customer may permanently transfer the entire Product to any third party, providing that the original Customer destroys all remaining copies of the Product and that the third party accepts the terms of this Agreement in its entirety.

PROHIBITIONS
============
Customer may not copy, sell, transfer, distribute or disseminate the Product in any form, except as specifically provided under the terms of this Agreement.
Customer may not modify, translate, merge, disassemble, or de-compile the Software nor attempt to reverse engineer the source code of the Software.
Customer may not sub-license, rent or lease any portion of the Product.

LIMITATION OF LIABILITY AND WARRANTY
====================================
This limitation of warranty is subject to the exceptions listed below.
Premier warrants that for a period of ninety (90) days from the date of purchase the Software media and documentation will be free from defects in materials and workmanship.
If during that period a defect is evident the Product should be returned to the place of purchase for, at the option of Premier, the repair or replacement of goods or the supplying again of services without charge.

THESE WARRANTIES ARE MADE IN LIEU OF ANY OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO ANY LOSS OF PROFITS, INTERRUPTION TO BUSINESS, LOSS OF INFORMATION OR ANY OTHER INCIDENTAL OR CONSEQUENTIAL DAMAGES ARISING OUT OF THE SUPPLY TO OR CUSTOMER'S USE OF OR INABILITY TO USE THE PRODUCT.

ENTIRE AGREEMENT
================
This Agreement embodies the entire agreement between Premier and Customer in relation to the terms on which the Customer is licensed to user the Product; any written or oral agreement between the parties having ceased to have effect immediately before installing the Software by the Customer. This Agreement may be amended only by instruments in writing executed by Premier.

GOVERNING LAW
=============
This Agreement is governed by United Kingdom Laws.
Premier and Customer each irrevocably and unconditionally submit to the non-exclusive jurisdiction of the courts of the United Kingdom including any objection that the court does not have jurisdiction or that the court is not a convenient forum.

SEVERANCE
=========
If any provision of this agreement is or at any time becomes illegal, prohibited, void or unenforceable for any reason, that provision is severed from this Agreement and the remaining provisions of this Agreement continue to be enforceable and are to be construed with such additions, deletions and modifications as are necessary to give effect to the remaining provisions of this Agreement.


RETURN/REPLACEMENT POLICY

Return or replacement of guarantee or warranty items is available only under the specific procedures outlined below:-
In the United Kingdom, Product or defective item must be returned to Premier.
